All proposals and quotes are valid for 30 days from the date of issue unless otherwise stated. We reserve the right to amend or withdraw any proposal before acceptance.

5. Payment Terms

• Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.
• A deposit of 50% of the total project fee is required before work commences on new projects, unless otherwise agreed.
• We reserve the right to charge interest on overdue invoices at a rate of 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
• All prices quoted are exclusive of VAT unless otherwise stated.

6. Intellectual Property

All content on this website — including text, graphics, logos, images, audio, video, and software — is the property of Northern Design and Marketing Ltd or its content suppliers and is protected by UK and international copyright laws.

Upon full payment for any commissioned work, ownership of the final deliverables will transfer to the client unless otherwise specified in the project agreement. We retain the right to use completed work in our portfolio, case studies, and marketing materials unless agreed otherwise in writing.

Third-party assets (stock photography, fonts, plugins) remain subject to their respective licence terms. We will advise on any ongoing licence requirements.

7. Client Responsibilities

Clients agree to:

• Provide all requested materials (text, images, brand guidelines, login credentials) in a timely manner.
• Review and provide feedback on deliverables within the agreed timeframes.
• Ensure that all materials supplied to us do not infringe any third-party intellectual property rights.
• Be responsible for the accuracy and legality of all content provided to us for use in any project.

Delays caused by late provision of materials or feedback may result in revised timelines and, where appropriate, additional charges.

8. Cancellation and Termination

Either party may terminate an ongoing service agreement by providing 30 days' written notice. In the event of cancellation:

• Payment is due for all work completed up to the date of cancellation.
• Any deposit paid is non-refundable once work has commenced.
• We will provide all completed deliverables and assets to the client upon settlement of any outstanding invoices.

9. Limitation of Liability

To the fullest extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Our total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client in the 12 months preceding the claim.
• We do not guarantee specific results from any marketing campaign, SEO strategy, or advertising spend. Digital marketing outcomes are influenced by many factors outside our control.

Nothing in these terms shall limit or exclude our liability for death or personal injury resulting from negligence, fraud, or any other liability that cannot be excluded by law.

10. Confidentiality

Both parties agree to keep confidential any information received from the other party that is marked as confidential or that would reasonably be considered confidential. This obligation does not apply to information that is publicly available, already known, independently developed, or required to be disclosed by law.

11. Third-Party Links

This website may contain links to third-party websites. These links are provided for your convenience only and do not signify endorsement. We have no control over the content of third-party websites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

12. Force Majeure

We shall not be liable for any delay or failure in performing our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, power failures, internet outages, or acts of terrorism.
